Bally’s Corporation Announces Amendments to Its Revolving Credit Facility

Published

on

Bally’s Corporation announced that it secured an extension of the October 1, 2026 maturity of $460 million of its revolving credit facility (RCF) commitments to a new extended maturity tranche date of October 1, 2028. In addition, all RCF lenders, representing $620 million in commitments, consented to the proposed sale and leaseback of the Company’s Twin River Lincoln Casino Resort (the SLB Transaction) pursuant to an existing agreement between the Company and Gaming and Leisure Properties Inc. (GLPI – Nasdaq) for cash proceeds of $735 million before transaction expenses and taxes. Upon receiving similar consents to the SLB Transaction from holders of at least approximately $630 million of term loans, which represent approximately 33% of currently outstanding amounts, the Company will have received sufficient consent from its senior secured lenders to proceed with the SLB Transaction. The amended RCF financing and the proposed SLB Transaction are subject to the approval of various regulatory authorities.

Bally’s has agreed with its RCF lenders, that upon completion of the SLB Transaction, Bally’s will take actions to reduce secured debt and credit facilities outstanding by an aggregate amount of $500 million, with first a permanent reduction of outstanding RCF commitments by 7.5%, to approximately $574 million, and thereafter to prepay Bally’s outstanding term loan and first lien notes on a pro rata basis, or an approximate 19% reduction of such outstanding balances. The net sale proceeds after transaction expenses and provision for taxes from the SLB Transaction are expected to reduce outstanding RCF drawings.

If the SLB Transaction is consummated, based upon the agreed amendments with Bally’s RCF lenders, and if similarly ratified by Bally’s term loan lenders, the combined outstanding balances of Bally’s term loans and first lien notes is expected to be reduced from approximately $2.4 billion to approximately $1.94 billion. Separately, Bally’s continues to make progress towards the consummation of its announced €2.7 billion sale transaction of Bally’s International Interactive business to Intralot S.A., which is expected to close during the fourth quarter of 2025. Bally’s is expected to receive approximately €1.5 billion in cash, with the balance of the consideration to be received in Intralot stock, which when combined with Intralot shares currently held by Bally’s, will result in pro forma ownership by Bally’s in excess of 60% of outstanding equity interest in the combined company. Accordingly, Bally’s is expected to receive its pro rata dividend distributions when paid by Intralot S.A., based upon local statutory provisions that require a minimum of 35% of net income to be paid out to shareholders as dividends.

Saskatchewan Indian Gaming Authority Modernizes Point-of-Sale and Inventory Operations Across Seven Casinos with Agilysys Solutions

Published

on

Agilysys Inc., a leading global provider of hospitality software and services, announced that the Saskatchewan Indian Gaming Authority (SIGA) has chosen Agilysys InfoGenesis POS and Agilysys Eatec inventory and procurement solutions for enterprise-wide use across all seven of its casino properties in Saskatchewan. This milestone represents a major advancement in SIGA’s strategy to modernize its operations at scale.

This modernization initiative is core to SIGA’s commitment to responsible growth, improved service delivery and long-term social impact. SIGA chose Agilysys solutions for their innovative design, efficient operation, and ability to scale responsibly as the organization evolves. By unifying food and beverage operations across its seven casinos – including Bear Claw Casino & Hotel, Dakota Dunes Casino, Gold Eagle Casino, Gold Horse Casino, Living Sky Casino, Northern Lights Casino, and Painted Hand Casino – under a centralized digital infrastructure, SIGA can meaningfully enhance efficiency, minimize waste, and assure service consistency across properties. The scalable, enterprise-ready technology also provides unified data flows to enable faster, data-driven decision-making and streamlined, coordinated management across SIGA’s widely distributed network of properties.

SIGA’s leadership team decided to move to Agilysys solutions after identifying the need to advance beyond the disconnected, site-specific systems they had in place, which made enterprise reporting and procurement time-consuming and difficult to manage consistently. For example, staff members continually had to assemble data from several different POS instances plus rely on manual spreadsheets for tracking inventory and calculating menu costs. With InfoGenesis and Eatec from Agilysys, teams now have access to real-time reporting, automated supplier price updates and tighter cost control measures – all from a unified platform designed to scale with the organization.

In addition to modernizing its back-of-house operations, SIGA is leveraging Agilysys solutions to enhance guest service levels through integrated order and payment systems and by utilizing kitchen display systems that help staff track and improve order-to-delivery accuracy and times across food and beverage outlets. Management teams now set internal benchmarks for speed, accuracy, and consistency, which optimizes guest outcomes across all dining outlets.

Peter Abutu, SIGA Project Manager who oversaw the POS and inventory and procurement modernization for SIGA, said: “As a First Nations-owned non-profit organization, SIGA strives to strengthen the lives of First Nation people through employment, economic growth opportunities and positive community impact. The fact that Agilysys respects our First Nations principles and has business practices that align with them also is an important factor when we considered a longer-term technology partner.”

SIGA Director of Operations Kevin Doucette, who played a key role in the Agilysys rollout noted that the new technology will enhance customer service and satisfaction on SIGA properties. “Investing in modern, scalable technology that equips us to deliver consistently excellent service across properties, while also improving the work experience for our team members and using resources conservatively and responsibly is central to how we serve both our business stakeholders and our broader community,” said Doucette.

Choosing Agilysys solutions, which are in place across the world’s best-known casino resort properties, also has laid the groundwork to more deeply integrate SIGA’s food and beverage systems with its casino management platform to enable personalized, loyalty-based offers driven by real-time guest insights. Unifying these systems through Agilysys technology will reduce reliance on multiple third-party vendors and establish a scalable digital foundation to support consistent, enterprise-wide innovation. As part of its broader effort to unify platforms and enable smarter decision-making, SIGA plans to implement Agilysys Analyze for property and corporate reporting and also is exploring hotel system upgrades.

Ryan Carrier, Area Vice President of Gaming at Agilysys, said: “It is a privilege to collaborate with an organization like SIGA, whose approach to hospitality modernization combines operational excellence with a strong sense of community purpose. Our experience serving tribal gaming properties has demonstrated our respect for how cultural values and forward-thinking technology can align to elevate guest experiences, streamline operations and drive long-term impact across properties and communities. We are proud to work alongside the team at SIGA to achieve their goals.”
